Please read these Terms of Service carefully before using Flux. By accessing our website, using the Flux negotiation widget, or applying to become a vendor partner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

1. About Flux

Flux provides a price negotiation service that embeds on vendor ecommerce product pages. The service enables shoppers to negotiate a price within rules set entirely by the vendor. Flux operates as a technology layer between vendors and their customers — we do not buy or sell goods, hold funds, or act as a retailer.

2. Eligibility

You must be at least 18 years old to use Flux as a vendor partner or to enter into any negotiated purchase. By using our services, you confirm that you meet this requirement. Shoppers engaging with the Flux widget on a vendor's store are subject to that vendor's own terms and conditions of sale.

3. For Shoppers

When you use the Flux negotiation widget on a vendor's product page:

• Any price agreed through Flux is subject to the vendor's own terms of sale, stock availability, and checkout conditions.

• A unique discount code generated by Flux is valid only for the duration stated and for the specific product negotiated.

• Flux does not guarantee that a deal will be reached in every negotiation.

• Flux is not a party to the purchase transaction between you and the vendor. Any disputes regarding the product, delivery, or refund are between you and the vendor directly.

4. For Vendor Partners

By applying to and participating in the Flux partner programme, you agree to:

• Provide accurate information about your store, products, and pricing rules during the application and setup process.

• Set pricing rules — including floor prices — that reflect genuine commercial limits you are willing to honour.

• Honour all discount codes generated through valid Flux negotiations on your store, provided the code is applied within its stated validity period.

• Ensure that Flux is used only on products and categories for which you have provided active rules.

• Abide by all applicable consumer protection, trading standards, and ecommerce laws in your jurisdiction.

• Not attempt to manipulate the Flux system to generate codes that do not reflect genuine agreed deals.

We reserve the right to suspend or remove any vendor account that violates these Terms, misrepresents pricing rules, or brings the Flux platform into disrepute.

5. Pricing and Fees

Flux operates on a performance-only model for new vendor partners. No fees are charged until Flux demonstrates a successful conversion. Full fee terms are agreed individually during the onboarding process and confirmed in writing before any charges apply.

We reserve the right to introduce or update pricing structures with reasonable notice to active vendor partners.

6. Vendor Pricing Rules — Integrity

Vendor floor prices and negotiation rules are the foundation of the Flux service. Flux will never offer a price below a vendor's stated floor price. Vendors must not set floor prices that misrepresent the genuine minimum they are willing to accept. Any attempt to use Flux in a way that deceives shoppers about pricing will result in immediate account termination.

7. Intellectual Property

All content, branding, technology, and software provided by Flux are owned by us or our licensors. The "Powered by Flux" branding displayed within the negotiation widget must not be removed, obscured, or altered by vendor partners. You may not reproduce, distribute, or create derivative works from our platform or brand assets without prior written permission.

8. Prohibited Activities

You agree not to:

• Use Flux for any unlawful purpose or in violation of any applicable law or regulation.

• Attempt to reverse engineer, exploit, or extract proprietary logic from the Flux platform.

• Interfere with or disrupt Flux's systems, servers, or infrastructure.

• Misrepresent your identity, store, or pricing information.

• Use Flux to engage in deceptive pricing practices toward shoppers.

• Attempt to generate discount codes outside of genuine negotiation flows.

9. Disclaimers

Flux is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. We do not guarantee specific conversion rates or revenue outcomes for vendor partners.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Flux and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of — or inability to use — our services. This includes but is not limited to loss of revenue, loss of data, or loss of business opportunity.

11. Indemnification

You agree to indemnify and hold Flux, its team, and its affiliates harmless from any claims, damages, losses, or expenses — including reasonable legal fees — arising from your use of the platform, your violation of these Terms, or your breach of any applicable law.

12. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify active vendor partners by email. Continued use of Flux after changes take effect constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
