Please read these Terms of Service carefully before using Flux. By accessing our website, using the Flux negotiation widget, or applying to become a vendor partner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.
1. About Flux
Flux provides a price negotiation service that embeds on vendor ecommerce product pages. The service enables a shopper to negotiate a price within rules set entirely by the vendor. The same service can be used by an AI shopping agent negotiating on a shopper’s behalf. Flux operates as a technology layer between vendors and their customers – we do not buy or sell goods, hold funds, or act as a retailer.
Flux is operated by FLUXAI GROUP HOLDINGS LTD, a company registered in England and Wales. References to “Flux”, “we”, “us” and “our” in these Terms mean that company.
2. Eligibility
You must be at least 18 years old to use Flux as a vendor partner or to enter into any negotiated purchase. By using our services, you confirm that you meet this requirement. Shoppers engaging with the Flux widget on a vendor’s store are subject to that vendor’s own terms and conditions of sale.
3. For Shoppers
When you – or an AI agent acting on your behalf – use the Flux negotiation widget on a vendor’s product page:
Any price agreed through Flux is subject to the vendor’s own terms of sale, stock availability, and checkout conditions.
A unique discount code generated by Flux is valid only for the duration stated and for the specific product negotiated.
A deal negotiated by an AI agent on your behalf is binding in the same way as one you negotiate directly, and a discount code is only issued after an explicit confirmation step.
Flux does not guarantee that a deal will be reached in every negotiation.
Flux is not a party to the purchase transaction between you and the vendor. Any disputes regarding the product, delivery, or refund are between you and the vendor directly.
4. For Vendor Partners
By applying to and participating in the Flux partner programme, you agree to:
Provide accurate information about your store, products, and pricing rules during the application and setup process.
Set pricing rules – including floor prices – that reflect genuine commercial limits you are willing to honour.
Honour all discount codes generated through valid Flux negotiations on your store, provided the code is applied within its stated validity period. Section 8 sets out what counts as a valid negotiation, and what happens if a code is issued outside your rules.
Ensure that Flux is used only on products and categories for which you have provided active rules.
Abide by all applicable consumer protection, trading standards, and ecommerce laws in your jurisdiction.
Not attempt to manipulate the Flux system to generate codes that do not reflect genuine agreed deals.
We reserve the right to suspend or remove any vendor account that violates these Terms, misrepresents pricing rules, or brings the Flux platform into disrepute.
5. Pricing, Fees and Cancellation
Plans. Flux pricing is based on the plan you choose and the completed sales generated through Flux. The current public plans are:
Basic – $0/month plus 5% commission on completed Flux sales.
Growth – $69/month plus 1.5% commission on completed Flux sales.
Pro – $299/month plus 0.5% commission on completed Flux sales.
Enterprise – custom pricing for high-volume stores and bespoke requirements, agreed in writing and set out in a Vendor Services Agreement.
All plans are billed monthly. There is no annual plan and no annual discount on any platform. There are no setup fees.
Commission. Commission is calculated only on completed sales where a Flux negotiation closed the deal. It is calculated on the negotiated item price – the figure agreed with the shopper and shown in your store. Where your store displays prices inclusive of tax, that displayed figure is the one used. Shipping, and any other item in the basket, are excluded. Where a Flux-attributed order is refunded, the commission is reversed – in full for a full refund, and proportionally for a partial refund. All reporting is net of refunds.
Currency. Plan fees are quoted in US dollars. Where we publish a price in your currency, you are charged that published price – a set amount, not a daily exchange-rate conversion of the dollar price – so your fee is the same every month and the same as every other store billed in that currency. Where we do not publish a price in your currency, you are billed in US dollars. If you install through the Shopify App Store, the currency Shopify invoices you in is determined by Shopify’s own billing settings for your store, and any currency conversion applied by Shopify or by your card provider is outside our control. Once your subscription starts, your price does not change unless you change plan or we give you notice under Changes to pricing below. Commission is always calculated and charged in the currency of the underlying sale.
Tax. All prices shown are exclusive of VAT and any other sales tax. Flux is not currently registered for VAT, so no VAT is added to your plan fee or commission. If we become VAT-registered, or if tax otherwise becomes chargeable, it will be added to the prices shown rather than absorbed into them, and we will tell you before it first applies. Where you are billed through the Shopify App Store, any tax Shopify is required to collect on app charges is applied by Shopify on its own invoice and is outside our control.
Free trial. Growth and Pro include a 14-day free trial, available once per store. The trial waives the monthly plan fee only – commission on any deals closed during the trial is still charged.
Included volume. Basic and Growth include unlimited negotiations. Pro includes a fair-use allowance of 2,000 negotiations per calendar month. A negotiation counts once a shopper, or an AI agent acting for them, actually begins negotiating – simply opening the chat does not count. You can see your running monthly count in your dashboard.
Exceeding an included volume never pauses your store and never blocks a negotiation. If you consistently exceed the Pro allowance we will contact you to agree custom pricing; we will not throttle or suspend the service without first discussing it with you.
Unlimited negotiations on Basic are subject to fair use assessed against sales activity. Because commission on completed deals is our only charge on Basic, a store generating sustained negotiation volume with no completed sales may have its capacity temporarily reduced, lifting automatically as sales resume or at the start of the next month. This does not apply to Growth, Pro or Enterprise.
Changing or cancelling your plan. You can change plan at any time in your dashboard. You can cancel at any time; cancellation takes effect at the end of your current billing period, and you keep access to your plan until then. There is no minimum term and no cancellation fee. Commission already earned on completed orders remains payable. If you want negotiations to stop immediately rather than at the end of the period, pause your rules or uninstall the app – see Section 9.
Changes to pricing. Pricing may be updated from time to time. Any material pricing change will be communicated to active vendor partners with reasonable notice, and will not apply to a billing period already paid for.
6. Vendor Pricing Rules – Integrity
Vendor floor prices and negotiation rules are the foundation of the Flux service. Flux will never offer a price below a vendor’s stated floor price. Floor prices and discount limits are enforced on our servers, against your saved rules, and are re-checked before any discount code is issued – they are not left to the negotiation itself to respect.
Vendors must not set floor prices that misrepresent the genuine minimum they are willing to accept. Any attempt to use Flux in a way that deceives shoppers about pricing will result in immediate account termination.
7. Discount Codes: Validity, Scope and Combination
Every discount code issued by Flux is generated by our servers against the vendor’s then-current active rules. Unless stated otherwise at the time it is issued, each code:
is single use, and expires once redeemed;
is time-limited, with the validity period shown to the shopper when the code is issued and never exceeding 72 hours;
is scoped to the specific product negotiated, except where a negotiation expressly covers more than one item.
Combination with other discounts. Flux codes are issued so that they do not combine with a vendor’s order-level discounts or shipping discounts. They may combine with product-level discounts, which allows a shopper to hold Flux codes for two different products in the same basket. Vendors running their own product-level promotions should review their store’s discount combination settings, as the interaction between a Flux code and a vendor’s own promotion is ultimately determined by the vendor’s ecommerce platform. Vendors who do not want this behaviour should contact us.
8. Pricing Errors and Incorrect Codes
What a valid Flux negotiation is. A negotiation is valid where it was conducted through the Flux widget or an authorised Flux agent interface, the final price was calculated by Flux’s servers against the vendor’s active rules for that product, and the resulting code was issued by Flux. A code is not the product of a valid negotiation where it was obtained by manipulating, forging or circumventing the negotiation flow, and the obligation in Section 4 to honour codes does not extend to such a code.
If a code falls outside your rules. If, despite the controls described in Section 6, a code is issued that falls outside your configured rules because of a fault in our service:
You are not required to honour it. The obligation in Section 4 applies to codes produced by a valid negotiation within your rules. A code produced by our error is outside it.
We will deactivate it. On becoming aware, or on your notifying us, we will deactivate the affected code promptly. You can also disable any Flux code yourself at any time in your ecommerce platform’s own discount settings, without waiting for us.
We will tell you what happened. You will receive the full negotiation transcript and an explanation of the cause.
Customer communication. You remain the seller and the party to the sale, so the customer relationship stays yours. Where the fault was ours, we will provide a written explanation you can send on, and we will correspond with the shopper directly if you would rather we did.
If the order has already completed, see Section 10.
Scale of exposure. Because every Flux code is single use and expires within 72 hours at the latest, a fault cannot produce an open-ended liability across many orders before it is contained.
9. Service Availability, Support and Incidents
Support hours. Monday to Friday, 09:00–18:00 UK time, excluding English public holidays.
Response targets. We aim to respond to vendor support enquiries within two UK business days, and usually within one. For pricing incidents – anything where you believe Flux has quoted, agreed or issued a price outside your rules – we aim to acknowledge within four working hours and to contain the issue, by pausing the affected rules or the integration, as the first step.
Contact. General support and pricing incidents: support@withflux.co.uk. Security vulnerabilities: security@withflux.co.uk. Data protection enquiries: privacy@withflux.co.uk.
Stopping Flux yourself, immediately. You do not need to contact us, or wait for us, to stop negotiations. At any time you can pause any individual product rule, or pause or remove the integration entirely, from your Flux dashboard or by uninstalling the app. These controls are enforced on our servers and take effect on the next request – they are not dependent on our support hours.
These are service targets, not guarantees, and they do not form a service level agreement unless expressly agreed in writing in a Vendor Services Agreement.
10. Our Responsibility If We Are at Fault
Where a pricing error, incorrect code or service failure is attributable to Flux rather than to your configuration or a third party, we will:
Correct it, and tell you what the cause was.
Reverse our commission on every affected deal, so we do not earn on a transaction our error produced.
Credit the plan fee for any period in which the service was materially unavailable, applied pro rata to the following invoice.
Make good the shortfall. Where our error caused you to sell below the floor you had configured, we will credit you the difference between your configured floor and the price actually charged, on each affected order. We will confirm this within five working days of the facts being established.
All four are commitments, not discretionary gestures. Item 4 applies where the rules in use on your store were accurate and the code was produced by a valid negotiation as defined in Section 8 – it does not cover a shortfall caused by a floor price you had set incorrectly, or by a code obtained by manipulating or circumventing the negotiation flow.
How a shortfall credit is paid. A credit under item 4 is applied against your next invoice. If you have no further invoice due, or you cancel or uninstall before it is applied, we will pay the outstanding balance to you within 30 days of the amount being agreed. You do not have to remain a customer to receive it.
Limit on item 4. Items 1 to 3 only reverse amounts you have paid us, so they can never exceed what we have charged you. Item 4 is a payment out, and it counts towards the monthly liability limit in Section 14.
These remedies are in addition to, and do not limit, any right you have under applicable law.
11. Intellectual Property
All content, branding, technology, and software provided by Flux are owned by us or our licensors. The “Powered by Flux” branding displayed within the negotiation widget must not be removed, obscured, or altered by vendor partners outside of a formal agreement with Flux. You may not reproduce, distribute, or create derivative works from our platform or brand assets without prior written permission.
12. Prohibited Activities
You agree not to:
Use Flux for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to reverse engineer, exploit, or extract proprietary logic from the Flux platform.
Interfere with or disrupt Flux’s systems, servers, or infrastructure.
Misrepresent your identity, store, or pricing information.
Use Flux to engage in deceptive pricing practices toward shoppers.
Attempt to generate discount codes outside of genuine negotiation flows.
Prohibited products and merchant categories. Flux must not be used to negotiate, list, advertise, or sell any of the following, and Flux may not be used as the negotiation layer for stores trading primarily in them:
Human remains, body parts, or anatomical artifacts of human origin.
Firearms, ammunition, explosives, and other functional weapons, together with any component or part designed to make a weapon functional.
Items that promote, glorify, or are associated with hatred or violence, including Nazi and other hate-group memorabilia or militaria.
Ivory and any product derived from endangered or protected species, including CITES-listed wildlife.
Illegal drugs, controlled substances, and related paraphernalia.
Child sexual abuse material, non-consensual sexual content, and sexual services.
Counterfeit goods and items that infringe the intellectual property of others.
Stolen goods, and cultural-heritage objects or antiquities that are looted, unprovenanced, or unlawfully excavated or exported.
Any product that is unlawful in the vendor’s jurisdiction or in the shopper’s jurisdiction.
Otherwise-lawful antiques, collectibles, militaria, taxidermy, or cultural artifacts may be sold through Flux only where the vendor holds lawful title and any licence, permit, or documentation required to sell them (for example, CITES certificates or applicable ivory exemptions), and provided they do not fall within an absolute prohibition above. Vendors must also comply with the prohibited and restricted product policies of their own ecommerce platform – Shopify, WooCommerce or otherwise – and of their payment processor, which apply in addition to this section.
Enforcement. We do not pre-screen vendor catalogues; our standard is to act on becoming aware. Where we reasonably believe Flux is being used in breach of this section, we may, at our discretion and without prior notice, suspend operation of the Flux widget on the relevant store, withhold or reverse any affected discount codes, and suspend or terminate the vendor’s account – in addition to our other rights under these Terms and any Vendor Services Agreement.
13. Disclaimers
Flux is provided “as is” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. We do not guarantee specific conversion rates or revenue outcomes for vendor partners. This section does not affect the commitments we make in Sections 9 and 10.
14. Limitation of Liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, and to the fullest extent permitted by applicable law:
We are not liable for indirect, incidental, special or consequential loss arising from your use of, or inability to use, our services, including loss of revenue, loss of data, or loss of business opportunity.
Our total liability to a vendor partner in respect of all claims arising in any calendar month is limited to the greater of (a) the total fees and commission paid by you to Flux in that month, and (b) £1,000.
Shoppers pay Flux nothing and the contract of sale is between the shopper and the vendor. Any claim about a product, its delivery, or a refund lies against the vendor, not against us. The monthly limit above is a vendor limit and does not purport to set a figure on our liability to a shopper; what we cannot lawfully limit is unaffected, as set out at the top of this section.
Items 1 to 3 of Section 10 reverse amounts you have already paid us and are available in addition to this limit. A shortfall credit under item 4 of Section 10 is a payment out, and counts towards it.
15. Indemnification
You agree to indemnify and hold Flux, its team and its affiliates harmless from any claims, damages, losses or expenses – including reasonable legal fees – arising from your breach of these Terms, your breach of any applicable law, or your sale of goods through your store.
This indemnity does not apply to the extent that the claim arises from Flux’s own negligence, breach of these Terms, or breach of applicable law.
16. Data Protection
Our role. Flux is an independent data controller in respect of the personal data it collects through the negotiation service, including negotiation activity, device and security signals, and any email address a shopper chooses to provide. We determine the purposes for which that data is used – operating the service, preventing fraud and abuse, and improving the service – and we are registered with the UK Information Commissioner’s Office under reference ZC173568. Our handling of personal data is governed by our Privacy Policy.
Your role. As the seller, you remain the controller of your own customer and order records. Where a shopper negotiates on your store, you and Flux each act as a controller in respect of your own processing. Neither party acts as the other’s processor.
Your own privacy notice. Because Flux is a separate controller rather than your processor, you should ensure your own privacy notice tells shoppers that their data is shared with Flux when they use the negotiation widget, and links to our Privacy Policy.
Why we are a controller and not your processor. A processor acts only on the documented instructions of another party. Flux decides for itself to collect device and security signals in order to detect fraud and manipulation of negotiations, and to improve its models on an aggregated basis. Those are our own purposes, not instructions from you, which is what makes us a controller. The practical consequence for you is that no data processing addendum is required between us, and that the sharing should appear in your own privacy notice.
Retention and deletion. We do not keep negotiation personal data indefinitely, and the limits below are enforced automatically by a scheduled job rather than by manual review:
Negotiation data where no deal was agreed is anonymised 90 days after the negotiation.
Negotiation data where a deal was agreed is anonymised 12 months after the negotiation, so that commission can be reconciled and disputed.
Expired sign-in credentials are deleted 30 days after they expire.
Order and commission records are kept for six years to meet UK accounting and tax obligations. These are deal economics, not shopper identifiers.
Anonymising means the identifying fields – IP address, device fingerprint, browser details, message content and any email address – are removed, while non-identifying deal economics are kept for accounting. Shoppers can request access to or deletion of their data at any time under our Privacy Policy. For stores on Shopify we also action Shopify’s verified customer data-request and customer and shop erasure webhooks automatically. On WooCommerce and custom installations there is no equivalent platform webhook, so a shopper access or erasure request reaches us directly – through our Privacy Policy, or by you forwarding it to privacy@withflux.co.uk – and we action it within one month.
Suppliers. A current list of our sub-processors – what each one does, what personal data it sees, and where it is located – is available on request at privacy@withflux.co.uk. We will tell you before adding a sub-processor that materially changes how negotiation data is handled.
Both parties will comply with applicable data protection law.
17. Relationship with the Vendor Services Agreement
These Terms apply to all users of Flux and are the full agreement for vendors on our published plans. Enterprise vendors additionally enter into a Vendor Services Agreement, which covers the commercial relationship in more detail, including commission rates, payment terms, notice periods and liability, and which is agreed in writing before it takes effect. Where a Vendor Services Agreement is in place and its terms conflict with these Terms, the Vendor Services Agreement prevails in respect of that vendor.
18. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify active vendor partners by email. Continued use of Flux after changes take effect constitutes your acceptance of the updated Terms.
19. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
